Castel Group Buys 80.4% Stake in Guinness Ghana from Diageo——Ghana‘s beer industry is set for a major shake-up as Castel Group, a leading global beverage company, acquires an 80.4% stake in Guinness Ghana Breweries PLC (GGBPLC) from Diageo in a $81 million deal.

According to a statement released on March 3, 2024 by Castel Group, the parties signed the share purchase agreement on January 28, 2024, formalizing the transaction. However, the deal is still subject to regulatory approval from the ECOWAS Regional Competition Authority (ERCA) before it can be finalized.

Once approved, Castel may also be required to launch a mandatory takeover offer, giving other shareholders the option to sell their shares at the agreed price of GHS 5.15 per share.

For years, Guinness Ghana Breweries has been a dominant force in the country’s beer and alcoholic beverage industry, famous for its signature Guinness stout and a range of locally brewed products. With Castel Group now taking over, industry watchers are eager to see how this acquisition will impact the market, product innovation, and competition.

Recent reports indicate that Guinness Ghana Breweries PLC has been performing strongly, with revenue for the half-year ending December 31, 2024, reaching GHS 1.6 billion—a 36% increase from the previous year. Net income also skyrocketed from GHS 28 million to GHS 83.9 million.

Additionally, previous statement from Guinness Ghana Breweries’ Board of Directors, issued on January 28, 2024, emphasized that new licensing and royalty agreements will be established to ensure the continued brewing, production, and distribution of Diageo’s iconic brands in Ghana, including Guinness.

“Diageo remains deeply committed to Ghana and, in partnership with Castel, will continue to drive the brand and marketing strategy for Guinness in Ghana,” the statement read.

Why Did Diageo Sell?

Diageo, the multinational beverage giant, has been shifting towards an “asset-light” model in Africa, focusing more on brand management rather than direct production. This sale follows a similar transaction in Cameroon, where Castel also acquired Diageo’s stake in Guinness Cameroon.

In recent years, Diageo has steadily divested from several African markets. In 2022, it sold Guinness Cameroon to Castel Group for £389 million, followed by the sale of its Meta Abo Brewery in Ethiopia to a unit of Castel. In 2024, Diageo further reduced its African presence by selling its 58% stake in Guinness Nigeria to Singapore-based Tolaram Group for approximately US$70 million.

Despite these sales, Diageo has retained ownership of the Guinness brand and continues to license its production and distribution in these markets.

With Castel Group already operating in multiple African markets, its expertise in mass-market beer production could mean greater investment in local production, distribution, and possibly more competitive pricing for consumers.
